Agreement to Terms

These Terms of Service ("Terms") constitute a legally binding agreement between you ("Customer," "Client," or "you") and Neat Avenue ("Company," "we," "us," or "our") regarding your use of our office renovation and decoration services.

By engaging our services, requesting a quote, or signing a project contract, you acknowledge that you have read, understood, and agree to be bound by these Terms and our Privacy Policy.

Definitions

For the purposes of these Terms, the following definitions apply:

Office renovation, decoration, interior design, lighting solutions, furniture supply and fitting, and related consultation services provided by Neat Avenue.

"Project"

Any specific renovation or decoration work undertaken by Neat Avenue for a Customer under a signed contract or work order.

"Site"

The Customer's premises where Services are to be performed, including any office, commercial, or business location.

"Materials"

All supplies, equipment, fixtures, furniture, and other items provided by Neat Avenue as part of the Services.

"Completion Date"

The date specified in the project contract when all Services are scheduled to be substantially completed.

Payment Terms and Methods

Accepted Payment Methods

Bank transfer, company cheque, debit/credit card, and approved financing options

Payment Timeline

All invoices are due within 14 days of issue unless otherwise agreed in writing

Late Payment

Late payments may incur interest charges of 8% above Bank of England base rate per annum

Additional Costs and Variations:

Any changes to the original scope of work may result in additional charges. All variations must be approved in writing before implementation.

Customer Obligations

To ensure successful project completion, Customers are responsible for:

Site Access

  • Providing safe and unrestricted access to the Site
  • Ensuring adequate parking and storage facilities
  • Coordinating with building management or landlords
  • Maintaining security arrangements during work hours

Documentation

  • Obtaining necessary permits and approvals
  • Providing accurate building plans and specifications
  • Supplying relevant health and safety information
  • Ensuring compliance with local building regulations

Cooperation

  • Providing timely decisions and approvals
  • Designating a primary point of contact
  • Accommodating reasonable scheduling requirements
  • Communicating any site-specific requirements

Site Preparation

  • Clearing and preparing work areas as required
  • Removing or protecting existing furniture and equipment
  • Ensuring utilities are accessible and functional
  • Providing temporary facilities if needed

Important: Failure to meet these obligations may result in project delays, additional costs, or contract termination. Any resulting delays or costs will be the Customer's responsibility.

We are committed to completing projects on time and within agreed schedules:

Schedule Development

Project timelines are developed based on scope, complexity, and site conditions. All dates are estimates subject to unforeseen circumstances.

Progress Updates

Regular progress reports and schedule updates will be provided throughout the project duration.

Delays and Extensions

Project delays may occur due to factors beyond our control, including weather, material availability, permit delays, or Customer-requested changes.

Force Majeure

Neither party shall be liable for delays caused by circumstances beyond their reasonable control, including:

  • Acts of God, natural disasters, or extreme weather conditions
  • Government actions, regulations, or public health emergencies
  • Labor strikes, material shortages, or supply chain disruptions
  • Utility failures or infrastructure problems
  • Acts of terrorism, war, or civil unrest

Changes and Variations

We understand that project requirements may evolve during renovation work:

Customer Approval

Important Change Order Terms:

  • All variations must be approved in writing before implementation
  • Additional costs and time extensions will apply to approved changes
  • Emergency changes for safety reasons may be implemented immediately
  • Reduction in scope may not proportionally reduce total project cost

Warranties and Guarantees

We stand behind the quality of our work with comprehensive warranties:

Workmanship Warranty

Duration: 12 months from project completion

Coverage: All labor and installation work performed by Neat Avenue

Exclusions: Normal wear and tear, misuse, or damage by third parties

Material Warranty

Duration: As per manufacturer specifications (typically 1-10 years)

Coverage: Manufacturing defects in supplied materials and equipment

Process: Claims processed directly through manufacturers when applicable

Finish Warranty

Duration: 6 months for paint and decorative finishes

Coverage: Peeling, cracking, or other finish failures due to application issues

Exclusions: Fading due to UV exposure or normal aging

Warranty Conditions and Limitations:

  • Warranties are non-transferable and apply only to the original Customer
  • Customer must provide reasonable notice of warranty claims
  • We reserve the right to repair or replace defective work or materials
  • Warranty repairs will be scheduled during normal business hours
  • Warranties do not cover consequential or indirect damages

Liability and Insurance

Neat Avenue maintains comprehensive insurance coverage and operates under defined liability terms:

Insurance Coverage

Public Liability Insurance

£2,000,000 coverage for third-party injury or property damage

Professional Indemnity Insurance

£1,000,000 coverage for professional advice and design services

Employers' Liability Insurance

£10,000,000 coverage as required by UK law

Limitation of Liability

Our total liability under any contract shall not exceed the total contract value. We are not liable for:

  • Indirect, consequential, or special damages
  • Loss of profits, revenue, or business opportunities
  • Damage to items not included in the project scope
  • Delays caused by factors beyond our reasonable control
  • Pre-existing conditions or hidden defects in the building structure

Mutual Indemnification:

Each party agrees to indemnify the other against claims arising from their own negligent acts or omissions.

Intellectual Property

Rights to designs, plans, and intellectual property are governed by the following terms:

Design Rights

Original designs created by Neat Avenue remain our intellectual property until full payment is received. Upon payment, Customer receives a license for the specific project use.

Photography and Marketing

We reserve the right to photograph completed projects for marketing purposes, subject to reasonable confidentiality requirements and prior customer approval.

Customer Materials

Any materials, designs, or specifications provided by the Customer remain their property. We will not disclose confidential information to third parties.

Trademark Notice: "Neat Avenue" and associated logos are trademarks of our company. Unauthorized use is prohibited.

Termination

Either party may terminate the contract under specific circumstances:

Termination by Customer

Termination for Convenience

Customer may terminate with 14 days written notice. Customer remains liable for all work completed and materials ordered.

Termination for Cause

Customer may terminate immediately if we materially breach contract terms and fail to remedy within 7 days of written notice.

Termination by Neat Avenue

We may terminate the contract if:

  • Customer fails to make payments when due
  • Customer breaches material contract terms
  • Site conditions become unsafe or unsuitable for work
  • Customer fails to provide necessary access or cooperation
  • Customer becomes insolvent or enters administration

Consequences of Termination:

Upon termination, all outstanding payments become immediately due, and we will be compensated for work performed and expenses incurred to the date of termination.

Dispute Resolution

We are committed to resolving any disputes fairly and efficiently:

Direct Negotiation

Initial disputes should be addressed through direct communication between the parties' designated representatives.

Mediation

If direct negotiation fails, disputes will be submitted to mediation through an agreed neutral mediator.

Arbitration

Unresolved disputes may be submitted to binding arbitration under the Arbitration Act 1996.

Legal Proceedings

As a last resort, disputes may be resolved through the appropriate UK courts.

Dispute Resolution Costs:

Each party will bear their own costs unless otherwise determined by the resolution process or court order.

Governing Law

These Terms are governed by the laws of England and Wales:

Applicable Law

All contracts and disputes shall be governed by and construed in accordance with the laws of England and Wales.

Jurisdiction

The courts of England and Wales shall have exclusive jurisdiction over any disputes arising from these Terms or our services.

Regulatory Compliance

All work will be performed in compliance with applicable UK building regulations, health and safety legislation, and industry standards.

Severability:

If any provision of these Terms is found to be unenforceable, the remaining provisions shall continue in full force and effect.
